Point Pass
Draft, pending legal review. These pages describe accurately how the system works and what we do with data. They do not yet state a governing law or legal entity, because those are still being settled. They are published so you can read them before signing anything — not as a final contract.

Terms of service

This is the agreement between Point Pass and a business using the service. It is written to be read, not to be survived.

What we provide

Loyalty cards for Apple Wallet and Google Wallet, branded to your business; a tool for your staff to add stamps and redeem rewards; and a dashboard showing how the scheme is performing. What is included at your level is set out in the written quote we agree with you, and the plan you are on is what you have agreed to.

Plans and billing

  • Plans are monthly and can be cancelled at any time, effective at the end of the period.
  • There is no setup fee.
  • If we change the price of your plan we will tell you at least 30 days beforehand, and you can leave rather than accept it.
  • Moving up a plan takes effect immediately. Moving down takes effect at the end of the period, so you do not lose features you have already paid for.

Your customers’ cards outlive your subscription

If you stop paying, or we stop trading, cards already in your customers’ wallets keep working. They stop receiving new stamps, but nothing vanishes from anybody’s phone and no card is revoked.

We are being precise rather than generous. Every card permanently contains the address it calls home to, fixed at the moment it was issued and impossible to change afterwards. We therefore treat that address as a permanent commitment — it is why the domain will not be allowed to lapse or be repointed, whatever happens to any individual account.

What you are responsible for

  • The rules of your own scheme — how many stamps, what they win, and honouring the reward when a customer earns it. The card is a record; you are the business.
  • Being lawful about your customers’ data. You decide what to collect and why; we process it for you, on your instruction. The data processing agreement sets out how.
  • Your staff’s access. Counter PINs and dashboard logins are yours to issue and revoke.

What you may not do

  • Use the service to send unsolicited marketing. Only customers who explicitly opted in can be messaged, and that is enforced by the system, not just by this clause.
  • Issue cards for a business that is not yours, or impersonate another brand.
  • Attempt to access another business’s data. Every record is scoped to one account and attempts to cross that boundary are logged.
  • Resell the service as your own without a written agreement to do so.

Suspension

We may suspend an account for non-payment, for the prohibited uses above, or where continuing would put customers’ data at risk. Except where the risk is immediate we will tell you first and give you a chance to put it right. Suspension stops issuance and updates; it does not revoke cards that customers already hold.

Leaving

Cancel whenever you like. Before your account closes we will export your customer list to CSV at no charge — it is your list, and there is no fee for taking it with you.

Availability and liability

We work hard to keep the service up but do not promise it is never unavailable. Where something does go wrong, our liability is limited to what you have paid us — with the ordinary exception that we do not exclude liability for anything the law does not allow us to exclude.

The precise wording of this section, the governing law, and how disputes are resolved are being settled with a lawyer and will be stated here before we take a first paying customer.

Changes to these terms

If we change anything material, we will tell you at least 30 days beforehand and you may leave rather than accept it. Minor corrections — a clearer sentence, a fixed typo — we will just make.
